Gabriel O. Onojason
Gabriel is a key member of the Firm’s Energy, Power, Tax, Corporate, Commercial and Dispute Resolution teams. With over 12 years of diversified experience in management, legal and risk analysis roles in the legal profession, he has a very broad and diversified understanding of Commercial and Corporate law practice and Litigation across his practice areas which include taxation, banking and finance, project finance, capital market, corporate restructuring, oil and gas, environmental, regulatory compliance, taxation, employment, entertainment law, admiralty and maritime, private equity, capital markets, corporate restructurings including mergers & acquisitions, regulatory compliance, corporate governance, business establishments & support services, and general commercial advisory matters. He has advised several clients on the legal and tax implications of corporate restructuring transactions and acquisitions and divestments of interests.
He represents and advises local and international companies in the petroleum, shipping, banking, maritime, capital market and other sectors in a wide range of commercial disputes bothering on margin loan facilities, tax, labour law, Corporate Governance, corporate and commercial disputes before various courts and tribunals. He also advises governmental agencies in the oil and gas, banking and financial sectors on a diverse range of transactions and legal issues pertinent to parties operating in the banking and related sectors. He also assists with a range of corporate matters including corporate restructuring, project finance, Mergers and Acquisitions, commercial, regulatory compliance and tax advisory services. He has also been involved as Counsel in various litigation (at the trial and appellate level) and alternative dispute resolution matters. He manages a large litigation, Arbitration and alternative dispute resolution portfolio comprising top end regulatory, commercial, criminal, labour and election petitions.
He has worked on numerous transactions involving the private and public sectors and is an invaluable asset when structuring new or novel transactions.
He is experienced in drafting and reviewing transaction and security documents, legal opinions and perfection of transaction securities. She also advises on capital market transactions such as public offerings, the listing of unit trust, and private placements/equity.
Gabriel also advises on general corporate and commercial law issues and transactions including acquisitions, joint ventures and strategic alliances, and assisted with structuring, drafting and reviewing agreements. He was part of the team that advised on the divestment of some minority interest shares of some shareholders in Fleet technologies Limited to Afriprice investment limited. He conducted legal due diligence on Spring Bank Plc. He also advised on the structure of the divestment, prepared and reviewed transaction documents, procured necessary corporate resolutions and advised on the subsequent transfer of the minority interests to Afriprice Investment Limited.
He was also part of the team that advised Unity Bank Plc during the divestment of its equity stake in all of its non –banking subsidiaries. He advised on the transaction structure and provided timely legal advice throughout the transaction to ensure compliance with legal and regulatory provisions.
During the previous five years, he has delved into the policies of the World Bank organization by contributing to the Global Indicators Group – Doing Business Project from Nigeria (Doing Business Global Report, 2013, 2014, 2015 and 2016, 2017 and 2018) and was part of the contributors to the pioneer World Bank Group Benchmarking Public-Private Partnerships project that measures key characteristics of Public-Private Partnerships (PPP) globally building on the ‘Doing Business’ methodology.
He is also part of the team of lawyers with the Federal Government Initiative (FSS2020) involved with the review of some selected Bills and drafting of critical Legal and Regulatory framework in the Nigeria financial system towards ensuring that Nigeria is the safest and most diversified financial system among emerging markets and supporting the real economy.
Gabriel brings his strong skills as a manager, negotiator, and researcher to bear in his areas of multidisciplinary expert knowledge and practice.
